·         Topic: “The Walking Dead: Forfeitures and Involuntary Terminations of Filing Entities”

 

·         Summary:  Thousands of entities suffer forfeiture or involuntarily termination under the Texas Tax Code or Texas Business Organizations Code every year. Often such an entity does not realize this action has been taken and simply continues to conduct “business as usual” until an issue arising from its changed status arises. There are several different statutory schemes providing for forfeiture and involuntary termination, and this presentation will address the application of these statutes, including the circumstances leading to forfeiture and termination of a corporation, limited liability company, or limited partnership by the Comptroller or Secretary of State; consequences and ramifications of forfeiture and termination; and requirements and effect of revival and reinstatement.
